We are hiring a Corporate Attorney, with flexibility on location, to bring legal expertise in-house, especially related to the fast-evolving crypto and web3 regulatory landscape. This position will be a trusted advisor to the CRO, CEO, and the rest of the executive leadership team with responsibility for many aspects of regulatory, governance, risk, commercial and compliance matters in the furtherance of the company’s growth and strategic initiatives.

Reporting to the Chief Financial Officer and as part of a small, entrepreneurial team, you will work closely with leaders of the Flipside organization, including the Company’s Board of Directors, to leverage your full range of legal skills to drive our strategy, evolution, and growth in the coming years.

Responsibilities

• Research and assess legal and regulatory matters, prepare internal written positions and advise decision-makers on risks, options for implementation, and recommended courses of action on matters ranging from contractual templates to forward looking regulatory compliance.
• Counsel product and business teams with an eye towards existing and emerging legal regimes, including topics related to OFAC and other international regulations.
• Manage and work closely with outside legal counsel to drive strategy, and implement streamlined processes for the company.
• Provide practical advice and day-to-day support to internal stakeholders regarding legal risks, business strategies, and other issues related to tokenization, DAO structures and other issues, and related web3-specific issues.
• Work cross-functionally as a generalist to provide support and establish positive relationships with various business partners including tech and product, marketing, operations, data science and analytics, information security, pricing, and sales to advise on issues through all stages of the business lifecycle.
• Work closely with commercial leaders as a trusted partner, escalation point and backup for commercial transactions and other commercial matters, including drafting, negotiating MSAs, professional service agreements, asset transfer agreements, and SOWs, partnership or referral agreements in a web3 native environment.
• Review, update and maintain various forms, policies, and procedures in alignment with benchmarked industry standards and regulatory changes.
• As needed, provide legal support on securities transactions, financings, and general corporate governance. Support HR professionals in compensation, benefits, ERISA, and immigration matters.
• As needed, draft and negotiate employment-related documents including specialized offer letters and/or separation agreements.
• Apply your creativity and ability to learn on the job to develop expertise in new areas of the law and drive new applications of existing laws to support innovation across the web3 space in partnership with our external legal and regulatory partners.

Requirements

• JD from an accredited law school; admitted to at least one state bar in the U.S., and an active state bar license.
• 4+ years overall relevant legal experience at a law firm or in-house; and/or experience working in or counseling crypto / web3 organizations a big plus, but not required.
• Some working knowledge of legal issues related to crypto / web3 including regulatory changes and planned changes, DAO structures and other issues, security and relevant data privacy laws and regulations, and other related topics are a plus.
• Expertise in drafting and negotiating a wide variety of commercial agreements, experience with web3 native agreements preferred.
• Effective, clear, and concise communication skills, both verbal and written.
• Ability to interact and influence decision-making processes at multiple levels.
• Comfortable dealing with ambiguity and flexible working in a fast-paced environment.
• An inquisitive, strategic and critical problem solver who is always looking for how things can work better.
• “Get stuff done” attitude – willingness to roll up your sleeves and engage deeply with all sorts of stakeholders across multiple teams and agendas, to accomplish what needs to be done.
